SNC Incorporated Advises ReconAfrica on Historic Namibia Stock Exchange Listing

SNC Incorporated is pleased to announce its role in the successful dual listing of Reconnaissance Energy Africa Ltd (ReconAfrica) on the Namibian Stock Exchange (NSX) under the symbol “REC.”  As the first publicly traded oil and gas exploration company to be listed on the NSX, ReconAfrica provides local and regional investors with access to Namibia’s high-growth energy sector.

The Namibian Stock Exchange is one of Africa’s oldest and largest stock exchanges, renowned for its sound governance and financial stability, making it a key financial hub on the continent.

For the dual listing, SNC Incorporated took on a range of responsibilities to ensure ReconAfrica’s listing onto the NSX. The legal team played a central role in setting up the required corporate entity and structure for NSX listing, preparing comprehensive corporate titles and opinions of ReconAfrica’s Namibian assets to confirm clear ownership, corporate status and suitability for listing. The firm’s role extended to reviewing and verifying relevant listing documents to ensure their accuracy, legal standing and full adherence to regulatory requirements, as well as providing updated ReconAfrica legal matters status.

As a long-standing client of SNC Incorporated, ReconAfrica has relied on the firm’s comprehensive expertise across multiple legal fields.  The firm’s extensive involvement has included securing relevant permits and licenses for its operations in Namibia to ensure compliance with Namibian laws and international regulatory standards, successful litigations, drafting and negotiating various contracts such as drilling contracts, joint operating agreements, petroleum agreements, farm-out agreements, construction agreements, service level agreements, advise on labour and employment matters, as well as dispute resolution. These steps have solidified ReconAfrica’s foundation within Namibia’s oil and gas industry and paved the way for this historic listing.

Shakwa Nyambe, Managing Partner of SNC Incorporated, commented: “We are proud to have collaborated with ReconAfrica on this historic listing, which strengthens Namibia’s energy and financial sectors amid recent major energy discoveries and expanding financial opportunities. We are pleased to support ReconAfrica’s commitment to regional growth and investment within the oil and gas industry.”

SNC Incorporated congratulates ReconAfrica on this achievement and remains committed to supporting their growth and ongoing operations in Namibia and the broader Sub-Saharan region.
