Our experiences in Corporate Governance

  • Advised International Energy Companies on the various types of organizations/entities/ – Companies available, including branches of foreign subsidiaries, offices and local subsidiaries in Namibia and further advised on the process of establishing the local entity and the relevant documentation required.
  • Provided Corporate Governance Support to confidential company’s Board of Directors, which inter alia included Corporate secretarial work required to keep the Namibia branch in good standing and in compliance with the Companies Act.
  • Provided company secretarial and legal advisory services to Namibia’s Petroleum Training and Education Fund by amending the constitutional documents and ensuring that all relevant administrative functions are adhered to
  • Advised international oil company on how its corporate structure should be set up to be successfully considered for award of a petroleum exploration licence and thereafter incorporated the local external company in Namibia which was subsequently successfully considered for award of a petroleum exploration licence in Namibia, Orange Basin

Our experiences in Compliance and Due Diligence

  • Pursuant to Namibia’s local participation policy which advocates for the inclusion of local partners in Namibia’s upstream oil & gas industry, client identified and shortlisted several Namibian private sector companies for potential consideration as local partner, should Confidential Client be successfully considered for award of specific blocks and for farming into specific blocks. We conducted interviews with client. After the interview, we prepared a report highlighting SNC Incorporated’s observations and conclusions on the interviews conducted for Confidential Client to make a comprehensive conclusion. In the report we recommended in chronological order on who is high risk and who is low risk to ensure client’s reputation is protected.
  • SNC Incorporated was instructed to conduct due diligence on the chain of custody of PELXX. SNC Incorporated reviewed the Petroleum Agreements, Deed of Assignment, Novation and Amendment to the Petroleum Agreement and PEL, the Joint Operating Agreement, as well as the Deed of Assignment, Novation and Amendment to the Petroleum Agreement and assess whether any amendments made were in accordance with the express requirements in the Petroleum Agreement, and if not, advise on the implications if any and how it can be rectified as well as timeline thereof
  • Assist with the preparation of the Anti-Bribery Policy and the Business Code of Conduct applicable to Namibia and facilitate the process of onboarding a contractor or consultant by ensuring that there is a background check before any contract is entered into by and between an International Oil Company and a contractor.   • Preparing of Legal Opinion which addresses the commercial Viability of Client, being able to offer and close the following types of transactions with international customers and suppliers:
    • Factoring: contracts for the assignment of receivables from international debtors to Spanish customers (or subsidiaries of Country Y groups) and the need for notification in the country deriving from the purchase and Confirming or Reverse
    • Factoring: assignment agreements with international suppliers of receivables from customers.
  • Advising on foreign investment loss and when a certificate of status of investment is required. Facilitated financing between parent company and local private company (the subsidiary company established in Namibia). As per the arrangements between the parent company and a subsidiary company, the subsidiary company would obtain funds from the parent company which funds were utilised for the day-to-day operations in Namibia.
  • We facilitated the application, through an authorised dealer, for a foreign debt facility (based on current debt + future license commitments) and sought a waiver from maintaining a debt equity ratio of 3:1, which application was approved and waiver granted
  • advised an International Oil Company, a company listed on the TSX, in connection with the public offering of its shares in 2023 and 2024 and prepared title opinions as well as corporate opinions, which documents are necessary to provide assurance to the lender that the title is free from any encumbrances, liens, or other legal issues that could affect the property’s ownership and value and further that the company, as a corporate entity is in compliance with the relevant administrative requirements and thus in good standing

Loide Hamutumwa has broad experience in Energy Finance and Taxation. With very impressive credentials, Loide holds a Diploma in Commerce, BTech: Administration (Namibia University of Science and Technology); B Juris, LLB (Honours), LLM (University of Namibia); LLM: Petroleum Taxation and Finance – distinction (University of Dundee).

For her in-depth knowledge in mineral & petroleum taxation and governance, she was appointed as a member to the government Petroleum and Mining Contracts Negotiating Team.

 

Loide’s other notable appointments include serving as a Convener of the Tax Tribunal. She is the present Secretary to the Namibia Double Taxation Agreements Negotiation Tax Team and a member to various SADC Working Groups on tax matters. Her career in Energy Finance started at the Solar Revolving Fund at Kongalend Financial Services (Pty) Ltd, prior to joining the UNDP-funded project Namibia Renewable Energy Programme (NAMREP), and later, joining the Ministry of Mines and Energy.

She enjoys writing tax journals and uses the knowledge and experience developed over years of working at the Legal Unit, Inland Revenue Department to educate taxpayers on tax compliance and tax justice.

Esther Kiangi specializes in the oil, gas and energy industries.

After completing her LLB at the University of Nottingham, she pursued an LLM in Oil, Gas and Mining at Nottingham Trent University. Her expertise lies within upstream support services, including but not limited to the permitting and licensing of explosives and radiation sources, exemptions in respect of declarations of continuous operations, and in business advisory with regard to project development. In addition to the above, she has experience in contractual transactions and regulatory compliance.

While her primary focus is in the natural resource industry, her other legal skills lie within Corporate and Commercial Law, where she has cumulated vast experience as a Company Secretary to various companies, dealing with the day-to-day administrative tasks in the management of companies, as well as high-value transactions further acting as a business advisor to these clients in respect of deal structuring within the ambits of the law.
